Corporate Records Search
Corporation search
Quick answer. A corporation search reads the public charter file: name, file number, status, registered agent, and the reports that state chose to publish. The internal corporate records book, stock ledger, and bylaws stay with the company unless they were attached to a filing.
Steps
-
Separate charter from minute book
Write down whether you need the filed articles or an internal ledger. Only the filed set is in the state index.
-
Search the exact corporate name
Include Inc or Corporation if you have it. Then search without the ending. Compare the file date with the date the other party claims the company was formed.
-
Open amendments, not just the original articles
A name change, a merger, or a conversion into an LLC lives in a later filing. The original articles alone can be years out of date.
-
Check the latest report for officers
If the state publishes officers, they are on the most recent report. An older report listing a president does not survive a later report that names someone else.
-
Order the image if the text extract is thin
Many indexes show a summary and a link to the stamped PDF. The PDF is the filing. The summary is a convenience.
Charter file versus the company’s own minute book
“Corporate records” is two different piles. The state pile is the articles of incorporation, amendments, mergers, and the annual or periodic report. The company pile is the minute book, the stock ledger, and signed consents. A corporation lookup on a state site reaches only the first pile. Corporate books and records requests under a shareholder statute are aimed at the company, not at the filing office.
Officers and directors show up when the state collects them on a report and posts them. They are a snapshot of the last report, not a promise that the same people still sign contracts. Addresses on those reports can be the registered office rather than a home address.
When you need the filed articles, order the imaged charter or a certified copy from the same office that ran the corporation search. A PDF reprint on a private site is not the certified copy a bank asked for.
Common mistakes
- Asking the secretary of state for the stock ledger. That ledger is not filed.
- Treating the registered agent as an officer. The agent accepts service. The officer signs for the company.
- Stopping at the articles when a merger filing changed the surviving name.
- Using a nonprofit search rule on a for-profit corporation, or the reverse. The report cycles differ.
Questions
Will a corporation search show bylaws?
Bylaws are internal. They appear in a state file only in the rare case a state required them as an attachment, which is not the norm.
Where are corporate officers listed?
On the public report, if that state collects officers. Some states list them. Some list only the agent. The state page says which.
What is an annual report search?
It is the same corporation file, read for the periodic report: whether it was filed, and which officers or addresses it last disclosed.
